These Terms of Use (“Agreement”) govern the use of the website located at https://aabmclouds.com (the “Site”) and the IT consulting services (“Services”) provided by AABM Cloud Data Solution, a company registered in Chennai, Tamil Nadu, India (“Consultant” or “We”), to you (“User” or “Client”). By accessing or using the Site, you agree to be bound by these Terms of Use. If you do not agree with any part of these terms, you must not use the Site or Services.

By accessing, browsing, or using the Site, or engaging with the Consultant’s services through the Site, you agree to comply with and be bound by these Terms of Use. If you do not agree to these Terms, please do not use the Site.

  • Invoices and Payment: All payments for Services are due in accordance with the terms outlined in your service agreement. Accepted payment methods may include credit card, bank transfer, or other methods as agreed upon.
  • Late Payment: If payment is not received by the due date, the Consultant may charge a late fee of 10% per month or the maximum allowable rate under Indian law. Services may be suspended if payment is not received.

6. Confidentiality and Privacy

  • Confidential Information: Both parties agree to maintain the confidentiality of all proprietary or confidential information exchanged during the course of the engagement. This includes, but is not limited to, business plans, customer data, and software.
  • Data Protection: The Consultant takes data protection seriously and complies with relevant Indian laws, including the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 under the Information Technology Act, 2000. The privacy of your personal data is governed by our Privacy Policy.

 

7. Intellectual Property

  • Consultant’s Intellectual Property: All content, software, design, and materials provided by the Consultant through the Site or as part of the Services are the intellectual property of the Consultant. These may not be reproduced, distributed, or used without permission.
  • Client’s Content: You retain ownership of any data or content that you provide to the Consultant in connection with the Services. By submitting content, you grant the Consultant a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content solely to provide the agreed-upon Services.

 

8. Limitation of Liability

  • No Warranty: The Site and Services are provided “as-is,” without any warranties or guarantees of any kind, either express or implied.
  • Limitation of Liability: To the fullest extent permitted by applicable law, the Consultant’s liability arising out of your use of the Site or Services will not exceed the amount paid by you for the specific services that gave rise to the liability in the 3 months preceding the claim.
  • Exclusion of Consequential Damages: The Consultant will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Site or Services.

 

9. Termination

  • Termination by Consultant: The Consultant reserves the right to suspend or terminate your access to the Site and Services at its sole discretion, without notice, if you breach any of these Terms of Use or engage in unlawful activities.
  • Termination by User: You may terminate your account or use of the Site at any time by notifying the Consultant. However, all outstanding fees or obligations must be settled before termination.
  • Effect of Termination: Upon termination, your right to use the Site and Services will immediately cease. The Consultant may also remove any content or data related to your account.

 

10. Indemnification

You agree to indemnify and hold harmless the Consultant, its employees, agents, and contractors from any and all claims, losses, liabilities, damages, and expenses (including legal fees) arising from your use of the Site, violation of these Terms of Use, or your infringement of any third-party rights.


 

11. Force Majeure

The Consultant will not be held liable for any failure or delay in performance of obligations under this Agreement due to causes beyond its reasonable control, including, but not limited to, natural disasters, power failures, strikes, wars, or technical failures.


 

12. Amendments to Terms

The Consultant reserves the right to modify or update these Terms of Use at any time. Any such changes will be posted on the Site with an updated effective date. It is your responsibility to review these Terms regularly to stay informed about any changes.


 

13. Governing Law and Dispute Resolution

  • Governing Law: These Terms of Use will be governed by and construed in accordance with the laws of India.
  • Dispute Resolution: Any dispute arising from or relating to these Terms of Use will be resolved through binding arbitration, in accordance with the Arbitration and Conciliation Act, 1996, at Tamilnadu, India. The language of arbitration will be English.

 

14. Miscellaneous

  • Entire Agreement: These Terms of Use, along with the Privacy Policy and any service agreements or proposals, constitute the entire agreement between you and the Consultant regarding the use of the Site and Services.
  • Severability: If any provision of these Terms of Use is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: No waiver of any provision of these Terms of Use shall be deemed a further or continuing waiver of such provision or any other provision.
